Terms of Service

1. Acceptance of Terms

By accessing or using GiftLode ("the Service"), operated by H2 Concepts Limited (company number 17019070, registered in England and Wales), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Description of Service

GiftLode is a group gifting platform that acts as an agent to facilitate the collection of contributions and the purchase of third-party gift cards on behalf of organisers and recipients. GiftLode does not issue or sell gift cards itself. The Service allows users to:

• Create group gifts and collect contributions from friends and family
• Add personal messages, videos, and photos to gifts
• Facilitate the purchase of third-party gift cards, delivered through a celebratory reveal experience

3. User Accounts

To use certain features, you may need to create an account. You are responsible for:

• Providing accurate and complete information
• Maintaining the security of your account
• All activities that occur under your account

4. User Conduct

You agree not to:

• Use the Service for any unlawful purpose
• Upload content that is offensive, harmful, or infringes on others' rights
• Attempt to gain unauthorised access to our systems
• Use the Service to harass, abuse, or harm others
• Create fraudulent gifts or contributions
• Interfere with the proper functioning of the Service

5. Payments and Refunds

Contributions

When you contribute to a gift, your payment is processed through Stripe on behalf of the gift organiser. Contributions are collected by GiftLode as agent and held until used to facilitate the purchase of a third-party gift card for the recipient. 5% of each contribution is allocated to creating a personalised video keepsake for the recipient. The remaining 95% goes directly to their gift card.

Refunds

Refunds may be requested through the gift organiser before a gift card is redeemed. Once a gift card has been redeemed, refunds are generally not available. Disputed transactions will be handled in accordance with Stripe's policies.

Gift Cards

GiftLode arranges the purchase of gift cards from third-party providers on behalf of the organiser and recipient. Gift cards are fulfilled by our partner, Tremendous, and issued by the individual retailers. Gift card terms and conditions are set by the issuing retailer and may vary. GiftLode is not responsible for the terms, availability, or value of third-party gift cards.

Payment Clearing and Gift Card Delivery

To ensure all contributions have fully cleared, gift cards are purchased no earlier than 24 hours after the last contribution is received. The recipient may access the reveal experience (messages, videos, and celebration) before the gift card is ready. Once contributions have cleared, the gift card code will be made available to the recipient automatically. GiftLode is not liable for any delay caused by payment processing times.

Auto-Delivery

When an organiser selects auto-delivery, GiftLode will send the gift reveal link to the recipient email address provided by the organiser on the specified delivery date. The organiser is solely responsible for providing an accurate recipient email address. GiftLode is not liable for gifts sent to an incorrect email address as a result of organiser error. If an incorrect email address is provided, the reveal link may be accessed by an unintended recipient, and GiftLode cannot recall or redirect a sent email. We strongly recommend double-checking the recipient's email address before creating your gift.

6. Content

Your content

You retain ownership of content you upload (messages, photos, videos). By uploading content, you grant H2 Concepts Limited a licence to store, display, and share that content as necessary to provide the Service.

Content guidelines

Content must not:

• Contain illegal material
• Infringe on intellectual property rights
• Contain explicit, violent, or hateful content
• Include personal information of others without consent

We reserve the right to remove content that violates these guidelines.

7. Intellectual Property

The GiftLode name, logo, and all related marks are trademarks of H2 Concepts Limited. The Service and its original content, features, and functionality are owned by H2 Concepts Limited and are protected by copyright and other intellectual property laws.

8. Third-Party Services

Our Service integrates with third-party services including:

• Stripe for payment processing
• Tremendous for gift card delivery
• Firebase for hosting and data storage
• SendGrid for email delivery

Your use of these services is subject to their respective terms and policies.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, H2 Concepts Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses arising from your use of the Service. Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless H2 Concepts Limited, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your access to the Service at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on this page. Your continued use of the Service after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
